Terms & Conditions

1. Company and scope

These Terms & Conditions apply to all quotations, orders, sales contracts and deliveries of Huada Global Supply Chain Co., Limited, a company registered in Hong Kong with its registered office at B35, Room 2204, 22/F, Seapower Centre, 73 Lei Muk Road, Kwai Chung, N.T., Hong Kong ("Huada Global"). By placing an order, the buyer agrees to these terms, subject to any specific terms stated in the applicable sales contract.

2. Quotations and pricing

Quotations are valid for 30 days from the date of issue unless stated otherwise. Prices are quoted per item, per quantity tier and per finish, and are exclusive of freight, insurance, duties and taxes unless expressly stated. Confirmed prices do not change between the quote and the corresponding invoice.

3. Orders and acceptance

An order is accepted only when Huada Global confirms it in writing by proforma invoice or sales contract. No order is binding on Huada Global until that confirmation is issued. Order quantities below the published minimum order quantity may be declined or quoted separately.

4. Samples

Pre-production samples may be offered for certain lines. Sample costs are invoiced separately and, where stated, credited against the first production order. Sample lead times vary by line and are confirmed at request.

5. Payment

Payment methods include bank transfer (T/T) and, for qualified orders, letters of credit (L/C). Payment terms are stated on the proforma invoice and mirrored in the sales contract. Title to the goods passes to the buyer in accordance with the Incoterms agreed in the sales contract.

6. Delivery and Incoterms

Delivery terms (EXW, FOB Hong Kong, CIF, DDP or others) are agreed per order and are subject to the Incoterms 2020 rules as incorporated into the sales contract. Lead times are estimates given in good faith and may be affected by production, inspection, booking and force majeure events; they do not constitute a delivery guarantee unless expressly agreed in writing.

7. Quality and inspection

Huada Global performs inline quality checks during production and a pre-shipment inspection on each order. Inspection reports are available on request. Claims relating to quantity or apparent damage must be raised within 14 days of receipt, supported by photographs and the packing list; latent defects must be raised within a reasonable period after discovery and in any event within 12 months of delivery.

8. Compliance and import

Huada Global provides documentation and compliance support as described on this website, including food-contact documentation for kitchenware, material information supporting Prop 65 evaluation, UL/ETL coordination for lighting, and indicative HS codes. The buyer, as importer of record or acting for the importer of record, remains responsible for compliance with the laws and regulations of the destination country, including final tariff classification, entry filing and product certification.

9. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including but not limited to acts of government, war, natural disaster, epidemic, port or carrier disruption, or industrial action.

10. Limitation of liability

To the extent permitted by law, Huada Global's aggregate liability arising out of or in connection with any order shall not exceed the invoice value of the goods to which the claim relates. Huada Global shall not be liable for indirect, incidental or consequential losses, including lost profits, unless otherwise agreed in writing.

11. Governing law and disputes

These terms and each sales contract are governed by the laws of the Hong Kong Special Administrative Region. Disputes shall first be resolved through good-faith negotiation; failing that, they shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.
